Terms & Conditions
§ 1 Scope and Provider
(1) These Terms & Conditions ("Terms") govern the use of the BASIX Omniversity website and learning platform at basix.market, including the Dev LMS, live cohorts, hackathons and all related features ("Service").
(2) The provider and contracting party is:
XR-AGENCY PTE. LTD.
2 Venture Drive, #19-21, Vision Exchange
Singapore 608526
Registration number (UEN): 202425407R
E-mail: office@basix.market
(3) Conflicting terms of the user do not apply unless expressly agreed in writing.
§ 2 Description of the Service
(1) BASIX Omniversity is a learning and incubation platform for Web3 and AGI development. The Service enables users to take self-paced courses, lessons and quizzes, join live cohort sessions, register for hackathons and form teams, submit projects, register what they build as IP assets, and earn completion badges and certificates.
(2) Badges and certificates confirm completion of the corresponding activity on the Service. They are not academic degrees or state-recognised qualifications unless a partner institution expressly states otherwise.
(3) Names and logos of partner universities, companies and projects shown on the Service are trademarks of their respective owners and are used for identification only. Their display does not mean that the respective owner endorses any user or any content created by a user.
(4) The provider may further develop, limit or adjust the scope of functions where reasonable for the user.
§ 3 Registration, Account and Minimum Age
(1) Certain features require a user account. Information provided at registration, including your institution or organisation, must be truthful and complete.
(2) If you have not yet reached the age at which you may consent to the processing of your personal data in your country of residence (the age of digital consent, which is between 13 and 16 in the EU), you may only create an account and use the Service with the consent of a parent or legal guardian.
(3) Login credentials must be kept confidential. The user is responsible for activity under their account.
§ 4 Fees
(1) Use of the Service by learners is currently free of charge.
(2) Licensing or purchasing IP assets listed on the Service is handled through BASIXMARKET under separate terms. These Terms do not govern such transactions.
(3) If paid features are introduced, the prices and any additional terms will be displayed before the user enters into a paid transaction.
§ 5 Hackathons, Cohorts and Events
(1) Participation in hackathons, cohorts and live sessions may be subject to additional rules published on the respective event page, such as eligibility, team size, deadlines and judging criteria. Those rules apply in addition to these Terms.
(2) The provider may change or cancel an event, or limit the number of participants, where there is good reason to do so.
§ 6 User Obligations and Conduct
(1) The user undertakes not to post unlawful, offensive, discriminatory content or content infringing third-party rights.
(2) Prohibited in particular: submitting work that is not your own as your own, manipulating quiz, assessment or hackathon results, creating false identities, and automated scraping of the Service.
§ 7 User Content and Intellectual Property
(1) Users retain ownership of the content, code and other work they create and submit ("User Content").
(2) For User Content posted on the Service, the user grants the provider a simple, non-exclusive licence to the extent required to operate the Service, for example to store, display and review it and to show it on the user's profile, badges and certificates.
(3) Ownership of, and any revenue from, projects built jointly by several users, or together with the provider, are governed by separate agreements between the parties involved.
§ 8 Liability
(1) The provider is liable without limitation for intent and gross negligence and for injury to life, body or health.
(2) For slightly negligent breach of essential contractual obligations (cardinal duties), liability is limited to the foreseeable damage typical for the contract. Otherwise liability is excluded.
§ 9 Availability and Changes to the Service
The provider aims for high availability but does not owe uninterrupted availability. Maintenance and downtime are reserved.
§ 10 Data Protection
Information on the processing of personal data is set out in the Privacy Policy.
§ 11 Dispute Resolution
The EU Commission's Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 and is no longer available. The provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
§ 12 Governing Law and Jurisdiction
(1) These Terms are governed by the law of the Republic of Singapore (the provider's seat), excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) Where the user acts as a consumer, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by the mandatory provisions of the law of the country in which the consumer has their habitual residence.
(3) For actions by or against consumers, the statutory places of jurisdiction apply; mandatory consumer-protection provisions of the consumer's country of residence remain unaffected. Where the user is a business, the place of jurisdiction is — to the extent legally permissible — the provider's seat.
§ 13 Final Provisions
(1) Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
(2) The provider may amend these Terms with effect for the future; changes will be communicated in good time in an appropriate manner.
